Terms of service

These terms cover your use of COD Verify, a Shopify app operated by Tensortactic Solutions Private Limited under its CODPilot brand. Installing the app means you accept them. If you are accepting on behalf of a business, you confirm you are authorised to do so. CODPilot is a trading name, not a separate company — your contract is with Tensortactic Solutions Private Limited, and these terms apply to each CODPilot product you install unless that product states otherwise.

1. What COD Verify does

COD Verify confirms Cash on Delivery orders over WhatsApp and SMS, collects advance and prepaid payments, sends order and delivery updates, recovers abandoned carts, and can hide Cash on Delivery at checkout. It works from your Shopify order data and the messaging and payment providers you connect.

2. Your account

You need an active Shopify store to install COD Verify. You are responsible for what happens under your account, including anything your staff configure. Keep your Shopify credentials secure.

3. Your responsibilities as the sender

COD Verify sends messages on your behalf and in your name. That makes you, not us, responsible for whether those messages are lawful. In particular you must:

• have a lawful basis to message each customer — in most markets that means the customer placed an order with you, and the message relates to that order;
• comply with WhatsApp Business and Meta policies, and with any rules of the provider you connect;
• in India, register your sender IDs and templates on DLT and honour DND and TRAI rules;
• honour opt-outs. COD Verify stops messaging a number that replies STOP, and you must not work around that;
• make sure your message templates are accurate and not misleading.

You are the data controller for your customers' personal data. How we handle it is set out in our privacy policy.

4. Plans and pricing

Subscriptions are billed through Shopify and appear on your Shopify invoice. Taxes are added where they apply.

5. Message credit

Messages are charged per send from a credit balance, separately from your plan. Paid plans discount every message. New stores start with a small amount of free credit so the app can be tested end to end.

• The Free plan does not send messages. It covers COD rules at checkout. Verification, order and delivery updates, cart recovery and payment requests require a paid plan, and your starting credit is there to be spent during the trial.
• Sending pauses at zero. If your balance runs out, messages stop rather than being sent and billed later. Keeping enough credit is your responsibility.
• Credit does not expire while your store is active.
• A message charge covers our attempt to deliver it. Once a provider accepts a message we are charged for it, so it is not refunded if the customer's handset, carrier or network fails to deliver.

6. Cancellation and refunds

• You can cancel at any time by uninstalling the app or downgrading to Free through Shopify.
• Your paid plan runs to the end of the period you have already paid for. Charges already made are not refunded, and there is no pro-rata refund for the unused part of a period.
• Message credit is non-refundable, including any unused balance when you uninstall.
• The free trial on paid plans is there so you can decide before paying anything.

Nothing here removes a right you have under law that cannot be waived by contract.

7. Price changes

We may change plan prices or message rates. Changes take effect at your next billing period, and we will tell you beforehand at the contact email on your store. Continuing to use the app after a change means accepting it; if you would rather not, cancel before it takes effect.

8. Third-party providers

COD Verify sends through the WhatsApp, SMS and payment provider accounts you connect. Those are your accounts, governed by that provider's terms, and you pay them directly where applicable. We are not responsible for a provider's delivery, pricing, downtime, template approvals or account suspensions. Shopify's own terms cover your use of Shopify.

9. Acceptable use

You must not use COD Verify to:

• send unsolicited marketing, or message people who have not bought from you;
• send unlawful, deceptive, harassing or fraudulent content;
• impersonate another business or misrepresent who is messaging;
• attempt to break, overload, reverse engineer or gain unauthorised access to the service.

10. Availability

We work to keep COD Verify available and will give notice of planned maintenance where we can, but the service is provided without a guaranteed uptime commitment unless we have agreed one with you in writing. Messaging depends on providers and networks outside our control.

11. Suspension and termination

We may suspend or terminate access if these terms are breached, if use of the app puts our provider relationships or other merchants at risk, or if required by law or by Shopify. Where circumstances allow, we will contact you first. You may stop using COD Verify at any time by uninstalling it.

After uninstall, your data is deleted as described in the privacy policy.

12. Intellectual property

COD Verify, its software and its branding remain ours. You keep everything of yours — your store data, your customer data and your message content. Installing the app gives you a non-exclusive, non-transferable right to use it while these terms are in force.

13. Disclaimers

COD Verify is provided "as is". We do not warrant that it will be uninterrupted or error-free, that every message will be delivered, or that it will produce any particular commercial result. Figures quoted on our website about reduced return-to-origin or recovered revenue are illustrative, not a promise about your store.

14. Limitation of liability

To the extent the law allows, our total liability arising out of or relating to COD Verify is limited to the fees you paid us in the twelve months before the claim arose.

We are not liable for indirect or consequential loss, including lost profit, lost sales, lost or delayed messages, return-to-origin costs, or loss of goodwill.

Nothing here limits liability that cannot be limited by law, including for fraud.

15. Indemnity

You agree to cover us against claims, penalties and costs arising from the messages sent through your account — including a claim that a customer did not consent to being messaged, or that content you configured broke a provider's rules or a messaging regulation.

16. Changes to these terms

We may update these terms. The date at the top changes when we do, and material changes are sent to the contact email on your store. Continuing to use COD Verify after a change means accepting it.

17. Governing law

These terms are governed by the laws of India, and the courts of Bengaluru, Karnataka, India have exclusive jurisdiction over any dispute.
